  • 1. Overview

    Elevate Media Group’s (“EMG”) Google Ads promotion is designed to help businesses optimize their advertising budgets and drive measurable results. By purchasing one of our 2025 Packages — New Client Special (NCS), you agree to the following Terms of Service.

    2. Offer Eligibility & Duration

    1. Offer Validity: These promotional package rates and terms are valid for one (1) year from the signature start date.

    2. Advertising Channels: While the stated NCS focuses on traditional Google Search Ads, we are open to discussing Google Display Ads, Video Ads (YouTube), and other relevant placements based on client goals. Note that other ad types may result in higher monthly costs as they may require additional services such as graphic design and video production.

    3. Minimum Commitment

    1. Three-Month Period: All packages require a minimum three-month commitment to allow sufficient time for campaign optimization.

    2. Early Cancellation: Terminating services before the initial three-month period may result in a cancellation fee equal to one (1) month’s service cost.

    4. Payment & Pricing

    • 2025 Monthly Rates:

      • Starter Search Campaign: $599/month

      • Growth Search Campaign: $799/month

      • Custom Search Campaign: Starts at $799/month (final price based on specific client needs)

    Ad Spend Separate from Service Fees

    • All advertising costs (ad spend) are separate from Elevate Media Group’s monthly service fees and are billed directly to the client’s chosen payment method on the advertising platform. EMG assumes no responsibility for these charges beyond managing the allocated budget as instructed.

    Recommended Budget

    • EMG recommends a minimum daily spend of $10 for effective campaign visibility and performance. However, this recommendation is not a guarantee of any specific result, as overall performance is influenced by market conditions, competition, and other external factors.

    Responsibility for Payment

    • It is the client’s responsibility to ensure that sufficient funds are available to cover the agreed-upon daily or monthly ad spend. If ad spend is paused or reduced due to insufficient funds, campaign performance may be adversely affected.

    Platform and Policy Compliance

    • The client is responsible for complying with all platform policies and ensuring that billing information remains accurate and up-to-date. EMG is not liable for account suspensions, disapproved ads, or billing issues arising from policy violations or insufficient funds.

    Billing and Refunds

    • All ad spend paid to third-party platforms (e.g., Google) is subject to their respective billing and refund policies. EMG does not provide refunds for ad spend allocated or spent, regardless of campaign performance or unforeseen circumstances.

    Budget Adjustments

    • EMG may recommend adjusting ad spend (up or down) over the course of the campaign to optimize performance. However, all budget decisions must be approved by the client. EMG will not increase ad spend without explicit client approval.

    No Guarantee of Results

    • While EMG strives to maximize the value of each advertising dollar spent, no specific outcome (e.g., conversions, clicks, impressions) can be guaranteed. Campaign performance can be influenced by factors beyond EMG’s control, including changes in competition, industry trends, or platform algorithms.

    Reporting of Ad Spend

    • EMG will provide regular updates and transparent reporting on how the advertising budget is allocated and performing. Any discrepancies should be reported to EMG immediately for investigation.

    Client Access to Ad Accounts

    • Clients with direct access to their Google Ads account are advised not to make independent changes to the budget without notifying EMG, as this may affect campaign optimization and reporting.

    Suspension or Termination Impact

    • If a campaign is suspended or terminated (for any reason, including non-payment, policy violations, or force majeure) The client remains responsible for any ad spend incurred up to that point.

    Invoices & Due Dates

    • Monthly service fees are billed at the start of each billing cycle, with payment due upon receipt unless otherwise stated in writing.

    5. Services Included (Depending on Package)

    1. Setup & Strategy: Account setup, keyword research, competitive analysis, and initial ad strategy to align with client objectives.

    2. Ad Creation & Optimization: Crafting targeted ad copy, split testing multiple ad variants, and ongoing optimizations.

    3. Enhanced Reporting: Regular reporting with actionable insights, traffic analysis, and performance recommendations.

    4. Additional Media Features:

      • Certain packages include headshots or a short promotional video (up to $700 in value).

      • If the cost or scope of these media services exceeds $700, EMG will:

        • Complete the project within the existing budget, or

        • Provide a separate quote for any additional work required.

    6. Deliverables & Customization

    1. Tailored Campaigns: EMG customizes each campaign to align with the client’s unique industry, goals, and target audience.

    2. Advanced Options: Higher-tier packages may include competitor analysis, advanced reporting, and strategy sessions to drive further value.

    3. Flexibility: Additional services or mid-campaign adjustments can be arranged upon mutual agreement (pricing may vary accordingly).

    7. Communication Policy

    1. Regular Updates: Clients receive at least one monthly update via emailed report or scheduled call.

    2. Additional Check-ins: More frequent updates can be requested based on campaign complexity or client preference.

    3. Response Time: EMG aims to respond to all client inquiries within one (1-2) business days.

    8. Ownership of Assets

    1. Client Property: Upon full payment of all outstanding fees, any ad copy, video assets, graphics, or other materials created by EMG become the property of the client.

    2. Exclusions: Proprietary tools, processes, or software used by EMG to deliver the services remain the sole property of EMG.

    9. Refund Policy

    1. No Refunds for Services Rendered: EMG does not offer refunds for services already provided.

    2. Disputes: Any disputes or concerns about service quality or billing are handled on a case-by-case basis. EMG encourages open communication to quickly address any issues.

    10. Performance & Results

    1. No Guaranteed Outcomes: While EMG optimizes campaigns to achieve the best possible results, we cannot guarantee specific performance metrics or ROI.

    2. Influencing Factors: Campaign success may be affected by market conditions, ad spend, competition, and other external variables outside EMG’s control.

    11. Client Responsibilities

    1. Provision of Materials: The client must provide necessary logos, images, product/service details, and access to relevant accounts in a timely manner.

    2. Timely Feedback: Delays in approving ad copy or campaign strategies may affect overall performance and scheduling.

    12. Force Majeure

    EMG is not liable for delays or disruptions due to events beyond our control, including but not limited to natural disasters, platform outages, and other unforeseeable circumstances.

    13. Termination Process

    1. After Initial Commitment: Following the required three-month term, either party may terminate services with a 30-day notice.

    2. Outstanding Balances: All outstanding balances must be settled prior to termination.

    3. Ad Spend: Any allocated or accrued ad spend for the termination period remains the client’s responsibility.

    15. Disclaimer

    1. Pricing & Services: EMG reserves the right to adjust service offerings or pricing based on evolving campaign needs, subject to client approval.

    2. Promotional Availability: Promotions are subject to availability and may be modified or discontinued at EMG’s discretion.

    16. Sensitive/Restricted Category General Advertising 

    Google Ads enforces strict policies for advertising content, targeting, and advertiser conduct. Certain categories—like gambling, alcohol, and drugs—are deemed “sensitive” or “restricted,” meaning they face heightened scrutiny and can be disapproved or lead to account suspensions. While Elevate Marketing Group (EMG) follows standardized best practices to help ensure compliance, Google’s automated review systems ultimately decide how ads are classified, and those processes lie entirely under Google’s control.

    • We cannot guarantee that any particular ad or campaign will be approved or remain active.

    • We cannot guarantee that Google’s automated systems will detect and classify your ads or content accurately.

    • We cannot guarantee that sensitive or restrictive categories will always be filtered correctly, which may result in ad disapprovals, restricted delivery, or account suspensions.

    By using EMG for Google Ads advertising, client agrees to comply with all relevant regulations, and Google Ads policies related to your products, services, ads, and targeting. EMG will support you in resolving any issues if they arise.

    EMG’s Standardized Approach

    • Initial and Client Review: EMG conducts an internal check of ad creatives to identify potential issues and advise on any necessary changes before submission. EMG consults a certified Google Ads expert before launching campaigns.

    • Client Approval: All ads require explicit client approval prior to going live.

    • Performance Access: Campaign performance and settings can be viewed via EMG’s dashboard or directly in Google Ads.

    • Troubleshooting: EMG will attempt to fix and resubmit any disapproved ads; however, success isn’t guaranteed.

    • Third-Party Dispute Resolution: In rare cases, EMG may suggest to partner with StubGroup, which has a 92% dispute resolution success rate (as of 01/10/2025) and typically resolves disputes within 3–5 weeks. Costs for these services can be up to a additional $3,500.

      • StubGroup is a third-party digital marketing agency specializing in Google Ads support, including policy compliance and dispute resolution. They help advertisers address account suspensions or other Google Ads policy-related challenges and aim to restore ad accounts wherever possible.

    Sensitive & Restricted Categories

    Google’s ad policies prohibit or restrict certain categories of content and targeting that it considers “sensitive.” These may include, but are not limited to:

    • May not be used for personalized advertising or certain targeting methods:

    • Legally restricted content (prescription medication, clinical trial recruitment, alcohol, gambling, location-based gambling)

    • Personal hardships (health conditions, financial distress, relationship hardships, abuse/trauma)

    • Identity and belief (sexual orientation, race, ethnicity, religion, politics, union membership)

    • Sexual interests (birth control, sexual content)

    • Access to opportunities (housing, employment, consumer finance in the US and Canada)

    Personalized Advertising and Sensitive Topics

    Personalized advertising leverages user data, behaviors, or interests to deliver more relevant ads. However, certain user data is considered “sensitive,” and using it for targeting may violate Google’s Personalized Advertising Policies. In particular:

    • No Exploiting Personal Problems: Advertisers are not allowed to target individuals based on their personal struggles, health issues, or financial difficulties.

    • No Targeting Based on Identity or Beliefs: Advertisers cannot include or exclude individuals based on their race, religion, sexual orientation, or political views.

    • Keep Sexual Interests Private: Ads cannot be targeted based on an individual’s personal sexual interests or experiences.

    • Access to Opportunities: For ads related to housing, jobs, or financial products (especially in the US and Canada), strict targeting rules must be followed. For instance, targeting by ZIP code, age, or gender is prohibited.

    • Protect Personal Information (PII): Advertisers are not permitted to collect or share personal details (such as emails or credit card numbers) unless using a Google-approved format. Additionally, combining personal information with cookies or remarketing tags is not allowed.

    Because Google automatically evaluates and classifies ad content and targeting, EMG’s ability to influence or challenge these determinations is limited. If your account falls under one or more of these sensitive or restricted categories, compliance or appeals cannot be guaranteed.

    Potential Outcomes

    Clients whose businesses or desired ad content falls under these sensitive or restricted categories clients must be aware of and prepared for the following rare, but possible outcomes:

    1. Ad Restrictions: Ads may run but face limited visibility or limited audience targeting.

    2. Ad Disapprovals: Ads may be rejected entirely by Google if policy violations are detected.

    3. Account-Level Enforcement: Repeated policy violations or serious offenses can lead to account suspension, affecting not just the flagged ads but any and all advertising within that account.

    In the event of such outcomes, EMG will make every reasonable effort to update, edit, or resubmit ads for compliance. However, EMG is not liable for any losses or damages resulting from ad rejections or account suspensions. Ultimately, it is the client’s responsibility to decide whether to proceed with ads, understanding the risks of advertising in a “special” category.

    In the rare event of an account suspension after all appeals are exhausted, EMG may recommend third-party dispute resolution through StubGroup. Depending on the suspension’s nature, EMG may cover up to the value of one month of your current Google Ads retainer (to a maximum of $1,000). Your retainer remains active during the dispute process (or until our partnership ends) to help offset costs associated with dispute resolution. However, please note that a suspended account cannot run ads, so there will be no ad spend while the suspension remains in effect. Unless otherwise specified in the initial agreement, all ad spend costs are the client’s responsibility.

    Your Responsibilities and Acknowledgements

    1. Policy Compliance: Compliance with Google Ads policies relevant to your industry and the subject of your advertising is a shared responsibility between the client and EMG. While EMG provides guidance and expertise to help ads comply with Google Ads policies, the client may need to provide supportive documentation to verify compliance, especially for industry-specific requirements or restrictions. Certain key aspects of compliance fall outside of EMG's control, including but not limited to landing page security, product or service accuracy, and data collection practices within the client's website.

    2. Accurate Representation: You must accurately represent your products, services, and business practices, and provide truthful advertising materials.

    3. Prompt Communication: You agree to respond promptly to EMG requests for changes, clarifications, or documentation required to maintain compliance with Google’s policies.

    4. Continued Monitoring: Google’s policies—and associated legal requirements—can and do change over time. EMG will endeavor to stay informed, but you agree to monitor these policies and remain compliant.

    Limitations of Liability

    In choosing to work with EMG as a specialty category, you agree that:

    • EMG is not liable for any actions taken by Google, including ad disapprovals, content restrictions, account suspensions, or other enforcement measures due to mentioned policies and inherent risks. 

    • EMG is not responsible for any losses in revenue, profit, or business opportunity due to ad rejections or account-level actions by Google due to mentioned policies and inherent risks. 

    • Indemnity: You agree to indemnify and hold EMG harmless from any third-party claims, damages, or liabilities that may arise from your failure to comply with Google Ads policies or any applicable laws.

    Acceptance and Consent

    By engaging EMG for advertising services, you acknowledge that you have read and understood this Sensitive and Restricted Category Advertising Notice. By proceeding, you acknowledge and accept the potential risks posed by Google’s stricter policies and automated review processes, understanding that these can lead to disapprovals or suspensions beyond EMG’s control and that EMG does not and cannot guarantee approval, continued operation, or unrestricted display of your ads.

    At EMG, we respect your decision and aim to be completely transparent about the potential risks of advertising in Google’s sensitive or restricted categories. We also understand if these terms lead you to decide EMG may not be the right fit. While rare, these categories typically undergo extra scrutiny. Because Google relies on AI and automation to review ads and websites, both fully compliant and non-compliant sites can sometimes be affected similarly. We share this information to ensure you have the full picture before moving forward.

    New Client Specials - Updated 01/22/25

    1. Scope of Services

    • EMG agrees to provide the services outlined in the selected video package.

    • Any additional services or changes to the scope must be requested in writing and may incur extra fees.

    2. Pricing and Payment

    • Package Fees: Fees for each package are detailed in the brochure and agreement.

    • Payment Schedule: A 50% deposit is required to book services. The remaining balance is due upon delivery of the final video.

    • Late Payments: Any unpaid balance after 30 days may result in a late fee or suspension of services.

    3. Revisions

    • Each package includes two (2) rounds of revisions.

    • Additional revisions or major changes beyond the scope of the initial agreement may incur extra fees at EMG’s discretion.

    4. Client Responsibilities

    • Pre-Production: Clients must provide all necessary information, such as brand guidelines, goals, and content ideas, before production begins.

    • On-Site Filming: Clients are responsible for securing permissions for filming locations.

    • Timely Feedback: Clients must review and approve drafts promptly to meet agreed-upon timelines. Delays in providing feedback or approvals may result in extended timelines or additional costs.

    • Talent and Releases: The client is responsible for obtaining signed release forms for all individuals featured in the video.

    • EMG is not liable for claims arising from individuals appearing in the video without proper consent.

    5. Drone Footage

    • Drone footage is subject to weather conditions, airspace restrictions, and local flight regulations.

    • Alternative Solutions: If drone coverage cannot be provided due to weather, local regulations, or other factors, alternative solutions will be discussed with the client.

    • EMG is not liable for delays or omissions caused by these factors.

    6. Ownership and Licensing

    • Final Deliverables: Once full payment is received, the client owns the final video.

    • Raw Footage: Once full payment is received, the client owns the raw footage captured as part of the agreed project.

    • Raw footage can be provided on an external hard drive, with hard drive costs billed separately unless specified in the agreement.

    • Royalty-Free Music: EMG licenses royalty-free music for use in videos. The client is responsible for ensuring future compliance if the video is repurposed.

    7. Cancellations and Rescheduling

    • Cancellations: If the client cancels less than seven (7) days before filming, a cancellation fee of 25% of the total package cost will apply.

    • Rescheduling: Rescheduling is permitted once without penalty if requested at least 48 hours in advance.

    8. Force Majeure

    • EMG is not liable for delays, cancellations, or inability to complete the project due to events beyond our control, such as natural disasters, illness, equipment failure, or unforeseen technical issues.

    9. Limited Liability

    • EMG’s liability is limited to the amount paid under this agreement.

    • EMG is not responsible for indirect, consequential, or punitive damages, including lost revenue or opportunities.

    10. Creative Decisions and Client Acknowledgements

    • Creative Process: EMG strives to bring the client’s vision to life within the included two (2) revisions.

    • However, EMG cannot guarantee that the final video will fully align with the client’s expectations within the included revisions.

    • Clients are encouraged to provide clear, detailed, and thorough feedback when submitting change requests to minimize additional revisions and potential extra costs.

    • Acknowledgement of Risk: The client acknowledges that drone footage is dependent on weather and regulatory conditions.

    • EMG will make reasonable efforts to deliver drone footage but is not liable for delays or omissions caused by these factors.

    • Creative Differences: The client understands that video production is a collaborative creative process.

    • EMG cannot guarantee specific creative outcomes unless explicitly defined in writing.

    11. Timelines and Deadlines

    • Timelines are estimates and may vary based on the complexity of the project, client feedback delays, or unforeseen circumstances.

    • EMG is not responsible for missed deadlines resulting from client delays.

    12. Revisions to Scope or Deliverables

    • Any requests to expand the scope of the project or significantly change the agreed deliverables will require a new quote and written approval.

    13. Confidentiality

    • EMG agrees to keep client-provided materials and information confidential and use them solely for the purpose of producing the video.

    • Portfolio Use: Unless otherwise specified in writing, EMG may use completed videos for promotional purposes, such as demos, sales materials, or case studies.

    14. Payment Disputes and Refunds

    • Non-Refundable Deposits: All deposits are non-refundable.

    • Refunds for Canceled Projects: If the client cancels the project after pre-production or filming has begun, refunds (if applicable) will be limited to services not yet rendered, minus any expenses incurred by EMG.

    15. Project Abandonment

    • If the client fails to respond to EMG communications or provide required materials for more than 30 days, the project will be considered abandoned.

    • Reactivation Fees: Reactivation of an abandoned project may require additional fees and a revised timeline.

    16. Storage and Retrieval of Files

    • EMG will store project files (including raw footage and final edits) for 30 days after project completion.

    • Requests for files after this period may incur additional fees.

    • EMG cannot guarantee long-term availability of raw footage unless otherwise agreed in writing.

    17. Technical and Equipment Failures

    • In the event of technical issues, such as equipment malfunction or power outages during filming, EMG will reschedule filming at no additional charge to the client.

    • EMG is not liable for delays or additional costs caused by unforeseen technical failures outside its control.

    18. Filming Logistics and Travel

    • Filming Locations: The client is responsible for securing permissions for all filming locations, including permits and approvals.

    • Travel and Accommodation: Any travel or accommodation expenses for filming outside a pre-agreed area will be billed to the client unless explicitly included in the package.

    19. Talent and Releases

    • The client is responsible for obtaining signed release forms for all individuals featured in the video.

    • EMG is not liable for claims or disputes arising from individuals featured without proper consent.

    20. Dispute Resolution

    • In the event of a dispute, both parties agree to attempt resolution through mediation before pursuing legal action.

    • Any disputes will be governed by the laws of the state specified in the agreement.
